TERMS & CONDITIONS (AGB)

1. Scope

These Terms and Conditions govern all business relationships between Travel Protocol Worldwide Maalaoui (“TPWW”), registered in Sempach, Switzerland, and its clients.

By commissioning, booking, confirming, or paying for any service, the client accepts these Terms and Conditions.

2. Scope of Services

TPWW provides organizational, coordination, advisory, and concierge services in the fields of:

• Travel & Hospitality
• Lifestyle & Strategic Access
• Mobility (Private Aviation, Yacht, Chauffeur & Transfers)
• Security Coordination
• International Logistics Coordination
• Wellness & Medical Travel Coordination

TPWW does not act as a tour operator, airline, security company, medical provider, yacht operator, transportation company, rental company, or any other direct service provider unless explicitly agreed otherwise in writing.

All services are provided exclusively in the form of coordination, mediation, concierge support, and organization of external independent partners and suppliers.

TPWW acts solely as an intermediary and coordinating entity between the client and third-party providers and does not become the contractual party of the respective external service unless explicitly agreed otherwise in writing.

TPWW does not guarantee the availability, upgrades, approvals, schedules, performance, quality, or execution of services provided by third-party providers.

3. Conclusion of Contract

A service agreement or mandate is concluded through written confirmation, explicit instruction via email, WhatsApp, telephone, message, signed offer, invoice payment, or acceptance of an individual quotation.

Offers are non-binding unless explicitly stated otherwise.

Availability and pricing may change until final confirmation and full payment have been received.

4. Prices & Payment Terms

Invoices are payable in full within the agreed payment period without deductions.

Reservations, bookings, and external services are only considered confirmed and guaranteed once full payment has been successfully received.

Payments may be made via bank transfer or external payment providers including Worldline, Revolut, or other approved payment methods.

Credit card payments may be subject to additional processing fees depending on the payment provider or international transaction conditions.

All services are invoiced and payable in Swiss Francs (CHF) unless otherwise agreed in writing.

TPWW reserves the right to suspend or cancel services in the event of delayed payment.

5. Refunds & Cancellations

Coordination services already performed by TPWW remain payable in full in the event of cancellation.

For all externally coordinated services, including hotels, private aviation, yacht charters, transportation, wellness programs, and third-party services, the cancellation and refund policies of the respective provider apply exclusively.

Certain services may be non-refundable once confirmed.

TPWW assumes no liability for cancellation fees, supplier penalties, schedule changes, or refund refusals imposed by external providers.5. Liability

TPWW shall only be liable for damages caused intentionally or through gross negligence in connection with its own coordination services.

TPWW assumes no liability for services provided by external partners. Contracts between the client and third-party providers remain unaffected.

Liability for indirect damages, consequential damages, or loss of profit is excluded to the extent permitted by law.

Any liability is limited to the amount of the coordination fee paid to TPWW.

6. Liability

TPWW shall only be liable for damages caused intentionally or through gross negligence in connection with its own coordination services.

TPWW assumes no liability for acts, delays, cancellations, operational failures, accidents, losses, or damages caused by third-party providers.

Liability for indirect damages, consequential damages, or loss of profit is excluded to the maximum extent permitted by law.

Any liability of TPWW is limited to the coordination fee directly paid to TPWW.

7. Confidentiality

All information, travel details, mandates, and personal data are treated with strict confidentiality and discretion.

8. Data Protection

Personal data is processed in accordance with the Swiss Federal Act on Data Protection (FADP) and applicable international data protection regulations.

9. Compliance & Right to Refuse Service

TPWW reserves the right to refuse or terminate services that may violate applicable laws, anti-money laundering regulations, sanctions regulations, or compliance requirements.

10. Chargebacks & Payment Disputes

The client agrees to contact TPWW directly before initiating any payment dispute or chargeback request.

TPWW reserves the right to provide booking confirmations, invoices, communications, and supplier confirmations to payment providers or financial institutions in the event of a dispute.

11. Force Majeure

TPWW shall not be liable for delays, cancellations, or service disruptions caused by force majeure events including natural disasters, strikes, pandemics, governmental restrictions, political events, transportation disruptions, or unforeseeable circumstances beyond reasonable control.

12. Jurisdiction & Applicable Law

Swiss law shall apply exclusively.

The place of jurisdiction is Sempach, Lucerne, Switzerland.

13. Amendments

TPWW reserves the right to amend these Terms & Conditions at any time.

The version published on the official website of Travel Protocol Worldwide at the time of booking or commissioning shall apply.
